What are contract and certificate templates | How to create and upload

Document templates are essential in formalizing your administrative processes, ensuring consistency, and maintaining compliance across all company documentation. This page will walk you through the steps for creating, customizing, and managing document templates within the platform.

Document templates are required during plan setup. They will be used to generate contracts and grant certificates during the vesting process. All documents like contracts and certificates are created from the configured templates base on their type.

You need to create your own template because each company may have different policies, contract clauses or any other legal binder based on the country’s law.

Document Template Types

  • Contract: Outlines the terms and conditions governing the vesting and exercise of the asset classes distribution. It represents the legal framework related to the configured plan. We recommend including following topics in your contract template:
    • Quantity: Asset class quantity that will be granted
    • Vesting schedule: Outlining the schedule according to which the asset class shares are vested over time based on the grant type. Vesting schedules are often structured over a period of several years to incentive employee retention and performance. Include cliff period, rate and vesting period.
    • Exercise price: The price at which the holder of a financial derivative, can buy or sell the underlying asset when exercising the grant type if applicable.
    • Exercise period: The contract defines the duration during which the owner can exercise their grant type after they have vested if applicable. This period typically begins after the grant type have vested and expires at a predetermined date.
    • Exercise procedure: It describes the process by which the employee can exercise their grant type, including any paperwork or notifications required and the method of payment for exercising the grant type.
    • Termination provisions: The contract may specify what happens to the user’s unvested grant type in the event of termination of employment, whether due to resignation, termination, retirement, or other reasons.
    • Company policies and agreements: The contract may reference and incorporate by reference other company policies or agreements relevant to the corresponding asset class.
  • Certificate: Document provided to an employee when asset classes based on the grant types are granted to them. Certificate serves as official confirmation of the grant.

Document Template Placeholders

The templates may include placeholders that will be replaced with specific values when the actual document is being created.

For example, you have template containing placeholder for the user name and your company name, a plan configured with this document template as contract template. When the user is eligible, a contract will be generated with values for the user name and the company name, in place of the placeholders.

Supported placeholders:

  • Contract Templates
    • {{company_name}}: Your company name
  • Certificate Templates
    • {{company_name}}: Your company name

Document Templates Management Page

Access the Document Templates Management Page:

  1. From the left side main navigation menu select Doc Templates under the Management section
  2. The page contains table with information about each available document template:
    • Name – template name
    • Type – contract or certificate
    • Actions – download, delete

❗Uploaded templates are immutable. They cannot be modified, if you need change, upload new template with provided changes.

Uploading Document Template

  1. Drag & Drop files directly to the drop box zone on the page or click Browse Computer and select files.
  2. Select the template types in the form that is shown when files are selected.
  3. Submit the form.
